These terms constitute a legally binding agreement between you and FileBeaver, LLC. We reserve the right to modify these terms at any time, and such modifications will be effective immediately upon posting on our website. Your continued use of the service following any changes constitutes your acceptance of the revised terms.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our services. By using FileBeaver, you represent and warrant that you meet these eligibility requirements.

2. Description of Services

FileBeaver provides online business formation document preparation and filing services. Our services include, but are not limited to, preparation and filing of LLC formation documents, Articles of Incorporation for corporations, EIN (Employer Identification Number) applications, registered agent services, and annual report filings.

FileBeaver is not a law firm and does not provide legal advice. Our services are limited to preparing and filing documents based on the information you provide. We do not review your business decisions or advise on the legal implications of forming a particular type of entity. For legal advice, we strongly recommend consulting with a licensed attorney in your jurisdiction.

We act as an authorized third-party filing service. Processing times for state filings vary by state and are subject to the respective state agency's processing schedule. While we file documents promptly, we cannot guarantee specific turnaround times from government agencies.

3. User Responsibilities

You are solely responsible for the accuracy, completeness, and legality of all information you provide through our platform. This includes but is not limited to your business name, registered agent details, member or director information, and business address. FileBeaver is not responsible for any errors, delays, or rejections resulting from inaccurate or incomplete information provided by you.

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, or impair our website or interfere with any other party's use of our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

It is your responsibility to ensure that the business name you choose is available and does not infringe on any existing trademarks or intellectual property rights. FileBeaver performs a basic name availability check as part of our filing process but does not conduct comprehensive trademark searches.

4. Payment & Refunds

Our service fees are clearly displayed during the checkout process. State filing fees are separate from our service fees and are collected on behalf of the respective state agencies. State filing fees are non-refundable as they are remitted directly to government entities.

FileBeaver offers a 100% satisfaction guarantee on our service fees. If you are not satisfied with our service, contact us within 30 days of your order and we will refund our service fee in full. This guarantee does not apply to state filing fees, registered agent annual fees after the initial period, or services that have already been fully completed and approved by the state.

All payments are processed securely through our third-party payment processor. We accept major credit cards, debit cards, and select digital payment methods. By providing payment information, you authorize us to charge the applicable fees for the services you have selected. Recurring services, such as registered agent services, will be billed annually unless canceled prior to the renewal date.

5. Limitation of Liability

To the fullest extent permitted by applicable law, FileBeaver and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our services.

Our total liability to you for any claims arising from or related to these terms or our services shall not exceed the amount you paid to FileBeaver for the specific service giving rise to the claim. This limitation applies regardless of the theory of liability, whether based on contract, tort, negligence, strict liability, or any other legal theory.

FileBeaver does not guarantee that any filing will be approved by the relevant state agency. While we prepare and submit all documents with care and accuracy, approval decisions rest solely with the respective government bodies. In the event a filing is rejected, we will work with you to correct and resubmit the application at no additional service charge.
